These Terms and Conditions govern the use of Ari's recruitment support services provided by Flexicruit Limited.

"Ari" refers to the trading name of the hiring support service provided by Flexicruit Limited.
"Client" refers to the company or individual engaging Ari's services.
"Services" refers to the hiring support services provided by Ari, including but not limited to advert creation, candidate sourcing, screening, shortlisting and interview coordination.
"Candidate" refers to any individual introduced, sourced or screened by Ari on behalf of the Client.
2.1 Ari provides fixed fee recruitment support services.
2.2 Ari is not a traditional recruitment agency and does not operate on a percentage of salary model.
2.3 Ari provides hiring process support for a fixed period, typically 30 days, as agreed at the point of engagement.
2.4 The Client retains full responsibility for all hiring decisions.
2.5 Ari does not guarantee that a role will be filled within the support period.
3.1 Services are provided on a fixed fee basis, as agreed in writing before commencement.
3.2 Payment is due in advance of the 30 day support period unless otherwise agreed in writing.
3.3 All fees are exclusive of VAT unless stated otherwise.
3.4 Fees are non refundable once the support period has commenced.
3.5 Ari does not charge placement fees, success fees or percentage based fees.
4.1 The standard engagement period is 30 consecutive calendar days unless otherwise agreed.
4.2 Support includes advert writing, job board posting, active sourcing, CV screening and shortlist presentation.
4.3 Any extension beyond the agreed support period may require an additional fee.
5.1 The Client agrees to provide accurate job specifications and relevant business information.
5.2 The Client agrees to respond promptly to candidate submissions and interview coordination requests.
5.3 The Client is responsible for conducting final interviews, right to work checks and employment contract issuance.
5.4 The Client remains fully responsible for compliance with employment law.
6.1 Any Candidate introduced by Ari during the support period shall be deemed an introduction by Ari.
6.2 If the Client engages or employs a Candidate introduced by Ari within 12 months of introduction, this will not trigger additional placement fees, as Ari operates on a fixed fee model.
6.3 The Client agrees not to directly approach or solicit candidates introduced by Ari for alternative roles without notification.
7.1 Unless explicitly agreed in writing, Ari does not offer replacement guarantees.
7.2 If a Candidate leaves employment after hire, the Client may engage Ari again under a new fixed fee agreement.
8.1 Both parties agree to treat all shared information as confidential.
8.2 Candidate CVs and personal data must not be shared with third parties without consent.
9.1 Ari operates in accordance with UK GDPR and Data Protection legislation.
9.2 Ari acts as a data processor when handling Candidate information on behalf of the Client.
9.3 The Client agrees to process Candidate data lawfully and securely.
10.1 Ari's liability is limited to the total fee paid by the Client for the relevant support period.

11.1 Either party may terminate the agreement in writing before the support period begins.
11.2 Once the support period has commenced, fees are non refundable.
11.3 Ari reserves the right to terminate services if the Client acts unlawfully or unreasonably.
These Terms are governed by the laws of England and Wales.
Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
